General Terms and Conditions for the Partner Program (Partner Terms)

§ 1 Scope & incorporation These General Terms and Conditions (hereinafter “Partner Terms”) govern the legal relationship between Koban Management LLC (hereinafter “PMSPilot”) and the participant in the partner program (hereinafter “Partner”). These terms apply exclusively to participation in the partner program at affiliate.pmspilot.com. The terms for use of the PMSPilot software by end customers (hotels/properties) remain unaffected. By registering as a Partner, the Partner fully accepts these Terms. § 2 Formation of contract, registration & account The agreement on participation in the partner program is formed upon successful registration on affiliate.pmspilot.com. The Partner account is active immediately after registration and the personal partner link can be used. There is no entitlement to admission to the partner program. The Partner must keep the data stored in the dashboard (in particular contact details and payout details) always up to date and truthful. § 3 Marketing materials, referral codes & priority rules PMSPilot provides the Partner with individual partner links and, where applicable, marketing materials. Priority of hotel referral codes: If a referred hotel creates its own referral code during registration or use (e.g. via ?ref=), that code takes priority over the Partner’s tracking. In that case, the Partner has no commission claim for that specific hotel. § 4 Accrual of commission & exclusion criteria Basis of remuneration: The Partner receives a monthly recurring percentage commission on the net amount of the paid main subscription (plan) of the referred hotel. Exclusions: One-time setup fees, add-on modules, add-ons or third-party integrations are excluded from commission. No commission arises for free trials, test properties, or cancelled/reversed payments. For plan upgrades of an existing customer, commission is calculated solely on the net difference (the delta). Self-referral: Promoting one’s own hotels, businesses or properties in which the Partner has an economic interest is strictly prohibited. No commission arises for self-referrals. Holding period (locking period): Accrued commissions are subject to a 30-day security hold from the date the hotel settles the invoice before they are released for payout. § 5 Payout, minimum amount & fees Payout request: Once the released balance in the Partner dashboard reaches the minimum of 50 USD, the Partner may request a payout in the dashboard. Review & deadline: Each payout request is manually reviewed by PMSPilot in advance. After successful review, payout is made within 14 days to the bank account or PayPal account specified by the Partner. Currency & fees: Commissions are recorded and calculated in the system in US dollars (USD). All transaction, bank, payout and FX fees (e.g. via PayPal, correspondent banks or conversion into the Partner’s local currency) are borne by the Partner and are not reimbursed by PMSPilot. Payout in local currency cannot be guaranteed. § 6 Term, termination & campaign changes The partner relationship is concluded for an indefinite period and may be terminated by either party at any time without notice and without stating reasons. End of campaign (no grandfathering): PMSPilot reserves the right to adjust or discontinue existing partner campaigns. If a campaign ends, recurring commissions for hotels referred under it stop on the day of discontinuation. There is no lasting grandfathering of future recurring commissions after a campaign ends. § 7 Abuse, fraud & suspension Any form of abuse, misleading advertising, spamming, tracking manipulation or breach of these Terms results in immediate suspension of the Partner account. In the event of suspension for fraud or breach of rules, all unpaid and accrued commissions are forfeited without compensation. PMSPilot reserves the right to take legal action. § 8 Liability & final provisions PMSPilot is not liable for technical disruptions or failures of partner tracking outside PMSPilot’s control. If individual provisions of these Partner Terms are or become invalid, the validity of the remaining provisions remains unaffected. The law at the registered seat of the operating company (Koban Management LLC) applies.
